Terms of Service

Last Updated: October 4, 2026
Version: 1.2.0

These Terms of Service ("Terms") constitute a legally binding agreement between you and Amoviti Technologies LLC governing your access to and use of the Amoviti Services.

By creating an account, purchasing a subscription, accessing shared content, or otherwise using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, together with the Amoviti Privacy Policy and, where applicable, the Health Data Notice, each of which is incorporated into these Terms by reference.

If you do not agree to these Terms, you may not create an account or use the Services.

1. About Amoviti

Amoviti is a Family Continuity System designed to help individuals and families organize important information, documents, contacts, assets, instructions, and continuity plans and make designated information available to authorized individuals under conditions established by the account owner.

The Services may include functionality to:

  • Store and organize documents and records;
  • Maintain family, contact, and asset information;
  • Search and retrieve stored information;
  • Identify and process documents;
  • Provide document reminders and expiration alerts;
  • Calculate a Preparedness Score;
  • Provide AI-assisted document analysis and question answering;
  • Facilitate controlled document sharing;
  • Provide emergency and family-continuity workflows; and
  • Release information to designated individuals according to configured instructions.

Amoviti is a technology service. Amoviti is not a law firm, financial institution, financial adviser, tax adviser, insurance company, healthcare provider, estate-planning provider, or other licensed professional service.

Amoviti does not create, execute, witness, notarize, or otherwise establish wills, trusts, powers of attorney, beneficiary designations, or other legally operative instruments.

You may store copies of such documents in Amoviti. A document stored in Amoviti is a record of the document you provided and does not itself constitute, modify, execute, validate, or otherwise establish the legal effectiveness of the underlying instrument.

Preparedness Scores, reminders, suggestions, AI-generated results, and other informational features are not legal, financial, tax, medical, insurance, or other professional advice.

You are responsible for obtaining professional advice appropriate to your circumstances.

2. Eligibility and Geographic Availability

You must be at least eighteen (18) years old and legally capable of entering into a binding agreement to create or maintain an Amoviti account.

Free accounts may be available to eligible users regardless of location.

Paid subscription plans are currently offered only to customers in the United States. Eligibility for paid services may be determined using the billing address associated with the subscription or the applicable Apple App Store or Google Play account.

Amoviti’s Services and data infrastructure are operated from the United States.

If you access Amoviti from outside the United States, you do so voluntarily and are responsible for complying with laws applicable to you.

3. Your Account

You are responsible for:

  • Providing accurate and current information;
  • Maintaining the accuracy of information in your account;
  • Protecting access to the email account and devices used to authenticate to Amoviti;
  • Maintaining the confidentiality of authentication codes; and
  • All activity occurring through your account, except to the extent caused by Amoviti’s failure to comply with its security obligations.

Amoviti currently uses passwordless authentication.

You may sign in using:

  • A verification code sent to your registered email address; or
  • Google authentication, where enabled.

Because access to your email account may permit access to Amoviti, you are responsible for protecting your email account and devices.

If you lose access to the email address associated with your Amoviti account, you must recover access through your email provider.

Amoviti does not currently provide a separate administrative process for changing the primary account email address or bypassing the established authentication mechanism.

Additional authentication methods may be introduced in the future. Where a material change affects your rights or security, we will provide notice as required by applicable law.

4. Documents Shared With You

An Amoviti account owner may share documents with you, including as part of an emergency or family-continuity workflow.

You may access a shared document through a link and the verification method established by the account owner.

Where applicable, confirming the verification code may create a limited free Amoviti account associated with the email address designated by the account owner.

The shared documents remain associated with the account owner’s vault.

Your access does not give you ownership of those documents or authority to delete them from the account owner’s vault.

The account owner may discontinue sharing at any time.

For security purposes, Amoviti may record access to shared documents, including opening or downloading a document, as part of the applicable account’s emergency or security record.

You are responsible for protecting any sharing link or verification code provided to you. Forwarding a link or code may provide access to a person whom the account owner did not intend to authorize.

If you access shared documents, you agree to these Terms to the extent applicable to your use of the Services.

5. Your Content

For purposes of these Terms, "Content" means documents, records, information, text, photographs, instructions, contacts, assets, and other material that you upload, enter, store, or otherwise provide to Amoviti.

You retain your rights in your Content.

You grant Amoviti a limited, non-exclusive right to process your Content as reasonably necessary to provide the Services you request, including to:

  • Store your Content;
  • Encrypt and transmit your Content;
  • Display your Content;
  • Organize and search your Content;
  • Identify and process documents;
  • Perform automated and AI-assisted processing;
  • Answer your questions using applicable Content;
  • Generate reminders and related information;
  • Maintain security and prevent abuse; and
  • Release Content to individuals you authorize under the conditions you configure.

This permission continues for as long as necessary to provide the applicable Services and to satisfy legitimate legal, security, operational, backup, and record-retention requirements described in the Privacy Policy.

Amoviti does not acquire ownership of your Content through these Terms.

Amoviti does not:

  • Sell your Content;
  • Use your Content for advertising; or
  • Use your documents to train AI models.

You are responsible for ensuring that you have the rights, permissions, consents, or other lawful authority necessary to upload and process Content you provide to Amoviti, including Content relating to another individual.

6. Artificial Intelligence and Automated Processing

Artificial intelligence and automated processing are integral components of certain Amoviti features.

By accepting these Terms and using applicable Services, you acknowledge and agree that your Content may be processed using AI and automated technologies as described in these Terms and the Privacy Policy.

There is currently no account-level setting that allows you to exclude a particular document from applicable AI processing while retaining that document in Amoviti.

If you do not want a particular document to be subject to the AI and automated-processing functionality described below, you should not store that document in Amoviti.

Initial Document Processing

When you upload a document, Amoviti first attempts, where technically feasible, to identify the document on your device without using a cloud-based AI model.

If the document cannot be sufficiently identified on the device, the document may be processed through Google Cloud services to identify the document and populate applicable information.

The initial automated processing occurs once per applicable document version and does not consume an AI credit.

User-Initiated Processing

You may subsequently request additional analysis of a document or use the Family Assistant.

Such user-initiated AI processing consumes applicable AI credits according to your subscription plan.

AI Infrastructure

Applicable document processing is performed using Google Cloud enterprise services, including:

  • Google Document AI; and
  • Google Vertex AI.

These services operate within Amoviti’s Google Cloud environment in the United States.

Document content is transmitted to those services through authenticated and encrypted connections.

Amoviti does not intentionally send your documents to public or consumer AI services or AI providers outside the Google Cloud environment described in the Privacy Policy.

Image Processing

Where text extraction is insufficient to interpret a document, certain document images may be processed.

For example, if a passport information page cannot be adequately interpreted as text, relevant page images may be processed through Vertex AI.

AI-Generated Information

AI processing may produce:

  • Document classifications;
  • Extracted values;
  • Expiration dates;
  • Summaries;
  • Answers;
  • Suggestions; or
  • Other derived information.

AI-generated information may be inaccurate or incomplete.

AI may:

  • Misread a document;
  • Miss information;
  • Extract an incorrect value;
  • Associate information with the wrong field;
  • Misinterpret context; or
  • Generate an answer that appears reasonable but is incorrect.

You are responsible for verifying important information against the original document or another authoritative source.

AI-generated information must not be treated as professional legal, financial, tax, medical, insurance, or other professional advice.

Future Encryption Capability

Amoviti has developed enhanced encryption functionality under which a document could be encrypted on the user’s device using a key not held by Amoviti.

As of the effective date of these Terms, that functionality is not enabled for production document storage.

Accordingly, documents stored in Amoviti are currently processed as described in these Terms and the Privacy Policy.

If enhanced encryption is enabled in the future, documents protected by that functionality may not be available for the AI-processing capabilities described in this section.

7. Sensitive Information

You may choose to store highly sensitive information in Amoviti, including:

  • Government identifiers;
  • Passport information;
  • Immigration information;
  • Financial and tax information;
  • Legal records;
  • Estate-planning documents;
  • Wills and trusts; and
  • Other sensitive family information.

You are responsible for determining whether Amoviti is an appropriate place to store a particular document or record.

Our handling of personal and sensitive information is described in the Privacy Policy.

Health and Medical Information

Amoviti permits you to store health and medical documents.

Health documents are handled differently from other documents.

Amoviti may identify the type of a health document so that it can be appropriately filed. Where device-side identification is unsuccessful, limited document reading may occur as described in the Privacy Policy.

Amoviti does not intentionally extract substantive medical information from health documents for use by the Family Assistant.

The Family Assistant does not use the contents of health documents to answer questions.

Where an applicable AI credit would otherwise be consumed for an analysis that Amoviti does not perform on a health document, the applicable credit may be returned under the applicable credit rules.

Additional information is provided in the Health Data Notice.

Amoviti does not independently disclose medical information except as permitted or required by the Privacy Policy and applicable law.

8. Emergency Features

Amoviti is not an emergency-response service.

Amoviti does not directly contact:

  • Police;
  • Fire departments;
  • Ambulance services;
  • Emergency medical services; or
  • Other public emergency authorities.

You must not rely on Amoviti in place of contacting emergency services.

In an emergency, contact the appropriate local emergency service first.

Emergency Contacts

When you identify emergency contacts or other individuals who may receive information through an emergency workflow, you represent that you have the appropriate authority or permission to provide their contact information to Amoviti where required by applicable law.

You authorize Amoviti to communicate with designated contacts as reasonably necessary to operate the emergency workflow you configured.

Emergency Workflow Operation

You control:

  • What information is released;
  • To whom it is released;
  • The conditions under which it may be released; and
  • The applicable confirmation requirements.

A workflow may be initiated by you or by individuals identified in the workflow, according to the configuration and verification requirements applicable to that workflow.

Amoviti does not treat inactivity alone as evidence that an emergency or death has occurred.

If you stop using Amoviti for an extended period, certain configured workflows may initiate a check-in or confirmation process.

Information is not released solely because you have stopped using the Services.

Limitations

Amoviti makes reasonable efforts to operate emergency workflows according to your configuration, but does not guarantee that:

  • A workflow will activate;
  • A workflow will complete;
  • A message will be delivered;
  • A recipient will receive a message;
  • A verification code will arrive;
  • A recipient will respond;
  • A recipient will act appropriately; or
  • Information will be released at a particular time.

A workflow may be delayed or prevented by:

  • Incorrect or outdated contact information;
  • Failed authentication;
  • Email delivery failures;
  • Service outages;
  • Third-party provider failures;
  • Security controls;
  • Fraud prevention;
  • Legal requirements; or
  • Disputes concerning authorization.

You are responsible for periodically reviewing and updating your emergency contacts, instructions, and workflows.

9. Death and Post-Death Instructions

Amoviti’s death and continuity features are intended to provide a mechanism for continuing access to information according to instructions established by the account owner.

These features do not constitute:

  • A will;
  • A trust;
  • A power of attorney;
  • A beneficiary designation;
  • An estate plan; or
  • A transfer of legal title or ownership.

Amoviti does not independently determine whether an individual has died.

Where a configured death workflow requires confirmation by designated individuals, the applicable release process will depend on those confirmations and the configuration established by the account owner.

An objection or dispute may suspend or delay a release while Amoviti reviews the matter.

Where an account-transfer instruction requires Amoviti verification, Amoviti may require a death certificate and compare the information in that document with information associated with the account.

Any such review is an administrative verification process. It is not a legal determination of death, inheritance, estate ownership, or entitlement.

Where applicable law recognizes a valid direction concerning disclosure of digital assets, the account owner may use Amoviti’s applicable functionality to direct disclosure to designated individuals.

Whether such a direction has legal priority over a will or other estate-planning instrument depends on applicable law.

Amoviti does not determine which estate-planning instrument controls.

You should consult qualified legal counsel regarding digital assets, estate planning, wills, trusts, beneficiary designations, powers of attorney, and applicable state or provincial law.

Amoviti may delay or refuse a release when reasonably necessary to:

  • Investigate a dispute;
  • Verify authorization;
  • Comply with law;
  • Protect another individual’s rights;
  • Prevent fraud or abuse; or
  • Protect the security of the Services.

10. Plans, Subscriptions, Credits, and Billing

Amoviti may offer free and paid subscription plans.

Plan features, storage limits, AI credits, and other applicable limits are presented before subscription.

Paid plans are currently available to customers in the United States.

Prices are stated in U.S. dollars and may be subject to applicable taxes.

Automatic Renewal

Unless otherwise stated at checkout, paid subscriptions automatically renew on a monthly or annual basis according to the billing period selected by you.

At each renewal, you will be charged the then-current subscription price unless you cancel before the renewal date.

Web subscriptions are billed through Amoviti’s applicable payment provider.

Subscriptions purchased through Apple or Google are billed through the applicable app store.

Applicable confirmation, renewal, and price-change notices may be provided by Amoviti, Apple, or Google according to the purchasing channel and applicable law.

AI Credits

AI credits may be consumed when you:

  • Request document analysis;
  • Request re-analysis of a document; or
  • Use applicable Family Assistant functionality.

AI credits:

  • Are associated with your applicable household or account;
  • Have no cash value;
  • Are not transferable;
  • Are not redeemable for cash; and
  • Are generally non-refundable.

If an AI operation fails due to a failure attributable to Amoviti, Amoviti may restore the applicable credit.

Plan Changes

An upgrade may take effect immediately.

For web subscriptions, an applicable prorated charge may be calculated based on the remaining portion of the current billing period.

App-store subscriptions are subject to the applicable Apple or Google billing rules.

A downgrade or applicable billing-period change generally takes effect at the next renewal unless the applicable purchasing platform provides otherwise.

Cancellation

You may cancel a web subscription through:

Settings → Subscription → Change Plan → Cancel Subscription

For subscriptions purchased through Apple or Google, cancellation must generally be performed through the applicable Apple or Google account settings.

Cancellation prevents future renewal but generally does not terminate the paid subscription before the end of the period already paid for.

When a paid subscription ends, information exceeding the limits of the applicable free plan may become read-only.

Amoviti does not automatically delete stored information solely because a paid subscription ends.

Price Changes

Amoviti may change subscription prices.

For web subscriptions, Amoviti will provide advance notice of material price changes as required by applicable law and, where applicable, provide an opportunity to cancel before the new price takes effect.

App-store subscriptions are subject to Apple or Google’s applicable price-change procedures.

Failed Payments

If a payment fails, Amoviti or the applicable payment provider may retry the payment according to its payment procedures.

Where applicable, a web subscription may remain active during a payment-retry period.

If payment cannot be successfully completed, the subscription may transition to the applicable free plan.

Stored information will not be deleted solely because of a failed payment. Information exceeding applicable free-plan limits may become read-only.

App Store and Google Play Subscriptions

If you purchase through Apple App Store or Google Play:

  • The applicable store processes payment;
  • The store’s terms and policies apply to the transaction;
  • Cancellation must generally be completed through the applicable store;
  • Refunds are generally governed by the applicable store’s policies; and
  • Deleting your Amoviti account does not necessarily cancel your store subscription.

You should cancel the store subscription separately before deleting your Amoviti account if you no longer want to be charged.

Refunds

For web subscriptions, you may request a refund within fourteen (14) days of a charge by contacting:

support@amoviti.com

If approved under this refund policy, the applicable charge will be refunded and the paid subscription will end.

After the fourteen-day period, partial refunds are generally not provided, except where required by applicable law or expressly stated otherwise.

If Amoviti increases the price of your subscription, you may request a refund within fourteen (14) days of the first charge at the new price. Where applicable, the refund may reflect the unused portion of that billing period.

For purchases through Apple App Store or Google Play, refund requests must generally be directed to the applicable store.

Nothing in this section limits any non-waivable consumer rights or remedies available under applicable law.

Account Deletion and Subscriptions

Deleting your Amoviti account may cancel renewal of a web subscription.

Deleting your Amoviti account does not necessarily cancel a subscription purchased through Apple App Store or Google Play.

You remain responsible for cancelling such subscriptions through the applicable store.

Subscription Management

For web subscriptions, applicable subscription-management functions are available under:

Settings → Subscription

Depending on the functionality available, you may be able to:

  • Change your subscription;
  • Cancel your subscription;
  • Update payment information; and
  • View invoices and receipts.

For app-store subscriptions, subscription management occurs through the applicable Apple or Google account.

You may not:

  • Violate applicable law or regulation;
  • Upload information or material that you do not have the right to store or process;
  • Impersonate another person;
  • Access another household’s account or information without authorization;
  • Attempt to bypass authentication or access controls;
  • Circumvent sharing codes or security mechanisms;
  • Probe, scan, test, or disrupt the Services without authorization;
  • Introduce malware, viruses, or other malicious code;
  • Use the Services to attack or compromise another system;
  • Circumvent storage, usage, or subscription limits;
  • Use automated tools in a manner that imposes an unreasonable burden on the Services;
  • Resell or commercially exploit the Services without authorization; or
  • Assist another person in violating these restrictions.

We may suspend or restrict an account when reasonably necessary to address serious or repeated violations of these Terms, unlawful activity, fraud, abuse, or threats to the security of the Services or other users.

12. Security

Amoviti maintains technical, administrative, and organizational safeguards designed to protect the Services and information stored through them.

The security measures applicable to the Services are described in the Privacy Policy.

No information system can guarantee absolute security.

Accordingly, Amoviti does not guarantee that Content will never:

  • Be lost;
  • Be damaged;
  • Become unavailable;
  • Be disclosed without authorization; or
  • Be accessed by an unauthorized person.

You should maintain appropriate independent copies of information that is important or difficult to replace.

Amoviti should not be treated as the sole repository for an irreplaceable original document.

13. Service Availability and Changes

Amoviti seeks to maintain reliable availability of the Services but does not guarantee uninterrupted or error-free operation.

The Services may become unavailable or degraded because of:

  • Maintenance;
  • Security measures;
  • Software or hardware failures;
  • Network failures;
  • Cloud-provider outages;
  • Email-provider failures;
  • Payment-provider failures;
  • Other third-party service interruptions; or
  • Events outside Amoviti’s reasonable control.

Amoviti may modify, replace, suspend, or discontinue features.

The infrastructure, storage systems, security controls, AI technologies, models, and service providers used to operate Amoviti may change as the Services evolve.

References in these Terms or the Privacy Policy to a specific technology or provider describe the applicable implementation as of the stated effective date and do not necessarily constitute a commitment to use that technology or provider indefinitely.

Where applicable law requires advance notice of a material change, Amoviti will provide the required notice.

14. Suspension and Account Closure

You may close your Amoviti account at any time through the account settings.

The treatment and retention of your information following account closure are governed by the Privacy Policy.

Amoviti may suspend or terminate an account when reasonably necessary because of:

  • A serious or repeated violation of these Terms;
  • Unlawful activity;
  • Fraud;
  • Abuse;
  • Security threats;
  • Threats to other users;
  • Legal requirements; or
  • Other circumstances where continued access would create material risk to Amoviti or its users.

Where reasonably practicable, Amoviti will provide notice and an opportunity to address the issue before suspension or termination.

We may act without advance notice where immediate action is reasonably necessary to protect users, the Services, or comply with law.

15. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AMOVITI IS PROVIDED "AS IS" AND "AS AVAILABLE."

Except for warranties that cannot legally be excluded, Amoviti disclaims all express or implied warranties, including implied warranties of:

  • Merchantability;
  • Fitness for a particular purpose;
  • Non-infringement; and
  • Accuracy.

Amoviti does not warrant that:

  • The Services will be uninterrupted;
  • The Services will be error-free;
  • AI-generated information will be accurate;
  • Documents will be correctly classified;
  • Extracted information will be complete or accurate;
  • Reminders or notifications will always be delivered;
  • Emergency workflows will always activate or complete;
  • Recipients will receive or act on information;
  • Shared information will be used appropriately by recipients;
  • The Services will produce a particular legal, financial, medical, insurance, tax, estate-planning, or family outcome; or
  • The Services will satisfy every particular need or requirement.

Amoviti does not represent that information stored in the Services constitutes an original legal document.

You remain responsible for reviewing and verifying information on which you rely.

Amoviti does not represent that documents uploaded by users are free from viruses or malicious code and does not undertake to review or moderate all Content uploaded by users.

Nothing in these Terms excludes or limits a warranty, right, or remedy that cannot lawfully be excluded or limited under applicable law.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AMOVITI TECHNOLOGIES LLC AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, OR DATA ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.

To the maximum extent permitted by applicable law, Amoviti’s aggregate liability arising out of or relating to the Services or these Terms will not exceed the greater of:

  1. The total amount you paid to Amoviti during the twelve (12) months immediately preceding the event giving rise to the claim; or
  2. US$100.

This limitation applies regardless of the legal theory on which liability is asserted, including contract, tort, negligence, strict liability, or otherwise.

Nothing in these Terms limits liability that cannot legally be limited or excluded, including liability for fraud or other liability that applicable law prohibits the parties from limiting.

17. Third-Party Services and App Stores

Amoviti relies on third-party providers for certain functions, including:

  • Cloud infrastructure;
  • Authentication;
  • Document processing;
  • AI services;
  • Email delivery;
  • Payment processing;
  • Subscription management; and
  • Network security.

Applicable third-party services may be governed by their own terms and privacy policies.

The current providers that process information for Amoviti are identified in the Privacy Policy.

If Amoviti links to a third-party website or service, the third party’s terms and privacy practices apply once you leave Amoviti’s Services.

Amoviti is not responsible for third-party websites or services that it does not operate.

A link does not constitute an endorsement unless expressly stated otherwise.

Apple App Store

If you download an Amoviti application through the Apple App Store, Apple’s applicable terms govern the App Store transaction and related platform services.

Apple is not a party to these Terms with respect to the provision of Amoviti.

Amoviti, not Apple, is responsible for the Amoviti application and its functionality.

Google Play

If you download an Amoviti application through Google Play, Google’s applicable terms govern the applicable Google Play transaction and platform services.

Google is not a party to these Terms with respect to the provision of Amoviti.

Amoviti is responsible for the Amoviti application and its functionality.

18. Google Drive Imports

Amoviti may allow you to copy selected files from Google Drive into your Amoviti account.

When you use the import feature:

  • You select the files through Google’s file-selection interface;
  • Amoviti receives access to the files you select;
  • Amoviti does not receive general access to your Google Drive;
  • Amoviti does not intentionally modify or delete your Google Drive files; and
  • The copied file becomes Content subject to these Terms.

Google’s services and applicable rules govern the Google Drive integration and may change independently of Amoviti.

Our handling of information imported from Google Drive is described in the Privacy Policy.

19. Intellectual Property

Amoviti and its licensors own or control all rights, title, and interest in and to the Services, including, as applicable:

  • The Amoviti name;
  • Amoviti trademarks and logos;
  • Software;
  • User-interface designs;
  • Visual designs;
  • Documentation;
  • Service architecture; and
  • Other proprietary elements of the Services.

Except for the limited right to use the Services described in these Terms, no intellectual-property rights are transferred to you.

You may not:

  • Copy the Services;
  • Reverse engineer the Services except where prohibited by law from restricting such activity;
  • Modify or create derivative works from the Services;
  • Remove proprietary notices;
  • Use Amoviti branding without permission; or
  • Represent that Amoviti endorses your products or services without authorization.

Third-party trademarks and names displayed through the Services belong to their respective owners.

20. License to Use the Services

Subject to your compliance with these Terms, Amoviti grants you a limited, personal, non-exclusive, non-transferable, revocable right to access and use the Services for your own household and personal purposes.

This license does not transfer ownership of:

  • The Amoviti software;
  • The Amoviti platform;
  • The Amoviti brand;
  • The Amoviti design; or
  • Other Amoviti intellectual property.

Your right to use the Services ends when your account is terminated or these Terms otherwise cease to apply to you.

21. Feedback

If you voluntarily provide Amoviti with feedback, suggestions, feature requests, ideas, or bug reports, you grant Amoviti permission to use that feedback without compensation or attribution for purposes including:

  • Improving the Services;
  • Developing new features;
  • Fixing defects; and
  • Improving security and usability.

You retain ownership of your underlying Content and personal information.

Providing feedback is voluntary.

22. Children

Amoviti accounts are intended for individuals who are at least eighteen (18) years old.

Parents or guardians may store information about their children within their own accounts where they have the appropriate authority to do so.

A child recorded within a family account does not receive an independent Amoviti account under the household account structure.

Amoviti does not intentionally create accounts for children.

Amoviti does not currently verify age at the time of account creation.

If Amoviti learns that an account has been created by an individual under eighteen (18), Amoviti may suspend or terminate the account and handle the associated information in accordance with the Privacy Policy and applicable law.

23. Privacy

Amoviti’s collection, use, disclosure, retention, security, and other processing of personal information are governed by the Amoviti Privacy Policy.

The Health Data Notice describes additional practices applicable to health and medical information.

Both documents are incorporated into these Terms by reference.

If there is a conflict between these Terms and the Privacy Policy regarding how personal information is processed, the Privacy Policy controls with respect to privacy and data-processing matters.

24. Events Beyond Our Reasonable Control

Neither party will be responsible for failure or delay in performing an obligation under these Terms to the extent caused by circumstances beyond that party’s reasonable control.

Such circumstances may include:

  • Natural disasters;
  • Significant network or hosting failures;
  • Cloud-provider outages;
  • Telecommunications failures;
  • Strikes;
  • War;
  • Civil unrest;
  • Government action;
  • Changes in law; or
  • Other events beyond reasonable control.

The affected party will use reasonable efforts to resume performance when reasonably possible.

Nothing in this section excuses Amoviti from obligations that cannot lawfully be excused, including applicable data-security and privacy obligations.

This section does not eliminate a payment obligation that has already become due.

25. Assignment

You may not assign or transfer your account or rights under these Terms to another person without Amoviti’s prior written consent.

Amoviti may assign or transfer these Terms and its rights and obligations to a successor in connection with:

  • A merger;
  • Acquisition;
  • Reorganization;
  • Financing;
  • Sale of the business; or
  • Transfer of substantially all applicable assets.

Any such transfer will not, by itself, eliminate rights you have under these Terms or applicable law.

26. Severability

If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, that provision will be enforced to the maximum extent permitted by law and the remaining provisions will remain in full force and effect.

27. Waiver

A failure by Amoviti to enforce a provision of these Terms does not constitute a waiver of that provision or our right to enforce it later.

Any waiver must be expressly provided in writing by an authorized representative of Amoviti.

28. Entire Agreement

These Terms, together with:

  • The Privacy Policy;
  • The Health Data Notice; and
  • Any additional terms expressly presented to you for a particular feature or purchase,

constitute the entire agreement between you and Amoviti concerning your use of the Services and supersede prior agreements or representations concerning the same subject matter.

Additional terms presented to you before purchasing or using a particular feature may supplement these Terms for that feature.

29. Electronic Communications

You agree that Amoviti may communicate with you electronically regarding:

  • Authentication codes;
  • Security notifications;
  • Account activity;
  • Subscription and billing information;
  • Receipts;
  • Service notices;
  • Changes to the Services;
  • Changes to these Terms or the Privacy Policy;
  • Emergency workflow notifications; and
  • Other communications necessary to operate the Services.

These communications are generally transactional or service-related and are not marketing communications.

Where available, marketing communications may be controlled separately through your account settings.

30. Changes to These Terms

Amoviti may update these Terms from time to time.

The Last Updated date at the top of this document identifies the current version.

If we make a material change that affects your rights or obligations, we will provide notice as required by applicable law.

Depending on the circumstances, notice may be provided through:

  • Email;
  • In-app notification;
  • Website notice; or
  • Other reasonable means.

Where applicable law or our stated process requires affirmative acceptance of a material change, you will be asked to accept the updated Terms before the change becomes applicable to your continued use of the affected Services.

Until you accept a material change, access to certain affected features may be restricted where reasonably necessary to administer the change.

Changes necessary to:

  • Comply with applicable law;
  • Address an urgent security vulnerability;
  • Prevent fraud or abuse; or
  • Protect the Services or users

may take effect immediately where permitted by law.

The version of these Terms that you accepted may be requested by contacting Amoviti.

31. Notices

Amoviti may provide notices through:

  • Email;
  • In-app notifications;
  • The Amoviti website; or
  • Other reasonable electronic means.
